Terms and conditions

1. General
The following terms and conditions of participation apply between

EDC-Business Computing GmbH
Berner Straße 51
60437 Frankfurt / Main

- hereinafter referred to as EDC-

and its contractual partners,

- hereinafter referred to as the customer-

for all current and future seminar events. Differing customer terms and conditions that EDC has not expressly agreed to in writing are under no circumstances part of the contract. The wording of the relevant written agreements is the sole determining factor for the content of the corresponding contractual agreements. Changes require a written additional agreement.

2. Registration and dates
a) Anyone can take part in EDC seminars after EDC has confirmed their registration.

b) We ask that you register no later than two weeks before the start of the seminar.

c) If the seminar is already booked on the desired date, EDC will offer a subsequent date if possible. The same applies if the seminar is cancelled.

d) If the customer cancels the registration of a participant in an open seminar in writing at least 10 working days before the start of the seminar, they will not be charged for the costs. If the cancellation occurs later than the start of the seminar, 75% of the seminar price will be due.

EDC reserves the right to claim damages that exceed the above-mentioned flat-rate compensation.

The customer can prove that EDC has not suffered any damage at all or that the damage is significantly less than the flat-rate compensation.

e) Company seminars, room and computer rentals are binding after the order has been confirmed by EDC. If you cancel up to 10 days before the start of the seminar, 75% of the agreed fee will be charged, after that 100%.

EDC reserves the right to claim any damages that exceed the above-mentioned flat-rate compensation.

The customer can prove that EDC has not suffered any damage at all or that the damage is significantly less than the flat-rate compensation.

f) EDC reserves the right to appoint substitute lecturers and - even after registration has been confirmed - to make a reasonable change to the location and date if necessary.

3. Copyright and data protection
EDC reserves all rights to the seminar documents, translations, reproductions and reprints, including extracts. No reproductions of any kind may be made without the prior written consent of EDC. For the duration of the seminar, the participant has a non-exclusive and non-transferable right to use the software used by EDC for teaching and training purposes. 

The participant may not copy this software, corresponding documentation or printouts, in whole or in part, or make them available to third parties. The customer will inform the people he has registered accordingly and oblige them to do so. The customer and the participant are personally liable for any damage resulting from violations.

4. Payment
a) The contract is legally binding when the customer confirms registration. The invoice amount is due immediately upon receipt of the invoice, without deductions.

b) The invoice amount is based on the EDC price list or the EDC seminar overview.

The date of receipt of the mail at EDC applies. If the participant does not show up for the seminar or only shows up in part without the customer having previously cancelled the registration in writing, the invoice remains due.

5. Participant behavior
a) The seminar regulations and the seminar times for the seminars held by EDC are binding for the participants. The customer will inform and oblige the persons he has registered accordingly.

b) Violations can lead to exclusion from the seminar. In this case, there is no entitlement to reimbursement of costs.

6. Warranty, liability
a) The seminar is designed in such a way that an attentive participant with the appropriate prior knowledge can achieve the seminar objective. EDC is not liable for the success of the training.

b) Attendance and seminar content are confirmed to the participant by a training certificate.

c) EDC is liable, regardless of the legal basis, unless otherwise provided, exclusively for intent or gross negligence on the part of legal representatives and senior employees. In the case of gross negligence, liability is limited to foreseeable damage; otherwise, in particular for consequential damage, EDC's liability is excluded. In any case, EDC is only liable for the recovery of data if its use in the context of the seminar was confirmed to the customer in writing by EDC and the customer has ensured that this data can be reconstructed with reasonable effort from data material that is kept in machine-readable form.

7. Jurisdiction, miscellaneous
The place of jurisdiction is Frankfurt/Main, unless the customer is a minor merchant.

8. Concluding remark
Should one of the points in these terms and conditions be or become legally ineffective, this will not affect the validity of the remaining points.
